1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the Cardlex website and mobile application (together, the “Service”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Who we are

The Service is operated by alphaC UG (haftungsbeschränkt) (“we”, “our”, “us”), and offered under the brand name Cardlex. Our legal details are provided in the Impressum. You can contact us at admin@alphac.tech.

3. Eligibility

You must be legally capable of entering into a binding contract in your jurisdiction to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. The Service

The Service provides language-learning features including AI-assisted deck generation, flashcards, and audio or pronunciation features. Features may change over time. We may introduce free and paid tiers and feature limits.

5. Your account

Some parts of the Service may require an account. You are responsible for activity on your account and for keeping your access credentials secure. Notify us promptly if you suspect unauthorized access.

6. Subscriptions, billing, and refunds

If the Service offers paid subscriptions (e.g., “Premium”), purchases are processed by the app store provider (Apple App Store or Google Play) and are subject to their terms. Prices, billing periods, and renewal rules are shown at purchase time.

  • Renewals: subscriptions typically renew automatically unless canceled through your app store account settings before the renewal date.
  • Refunds: refunds (if any) are handled by the app store under its policies. We cannot issue app-store refunds directly.
  • Changes: we may change pricing or plans. Where required, we will provide notice via the app store or within the app.

7. Acceptable use

You agree not to misuse the Service. For example, you will not:

  • Use the Service for unlawful, harmful, or abusive activities.
  • Attempt to reverse engineer, bypass limits, or interfere with the Service’s security.
  • Upload or generate content that infringes third-party rights or violates applicable law.
  • Use the Service to develop competing products by systematically extracting content or outputs.

8. Your content

“Your Content” means information you submit to the Service (for example, text prompts, phrases, decks, flashcards). You retain ownership of Your Content.

You grant us a limited, non-exclusive, worldwide license to host, store, reproduce, process, and display Your Content only as needed to provide and improve the Service, and to enforce these Terms. This license ends when Your Content is deleted from the Service, except where retention is required by law or for legitimate business purposes (for example, security and abuse prevention).

You are responsible for Your Content and represent that you have the rights needed to provide it to us.

9. AI outputs and educational use

AI-generated content may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing outputs before relying on them. The Service is provided for informational and educational purposes and is not professional advice.

10. Intellectual property

The Service, including software, design, text, graphics, logos, and trademarks, is owned by us or our licensors and is protected by intellectual property laws. Except for the rights expressly granted in these Terms, we reserve all rights.

11. Third-party services

The Service may rely on third-party services (for example, hosting providers, app stores, or providers enabling AI/audio features). Your use of those services may be subject to their terms and policies.

12. Termination

We may suspend or terminate your access to the Service if you violate these Terms or if necessary to protect the Service or other users. You may stop using the Service at any time.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee uninterrupted or error-free operation.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

15. Indemnity

To the extent permitted by law, you agree to indemnify and hold us harmless from claims, damages, liabilities, and expenses arising out of your use of the Service or your violation of these Terms.

16. Governing law

These Terms are governed by the laws of the country where the Service provider is established, as listed in the Impressum, excluding its conflict of law rules, unless mandatory consumer protection laws provide otherwise.

17. Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page and update the “Last updated” date. If changes are material, we may provide additional notice (for example, in the app).
